Deci.AI "Meet Deci at GTC" Raffle Terms

The following terms and conditions (“Terms”) shall apply to the promotion raffle (the “Raffle”) held by Deci.ai Ltd. (the "Company") at the Event (as defined below).

1. Company will hold a raffle taking place on March 30, 2022 in Tel Aviv ("Event"). An individual that signs up to the Raffle at the Company’s website and that meets the criteria set at section 2 below will participate in the Raffle ("A Qualified Individual").
2. The Raffle is open to any individual meeting all of the terms below:
   
   a. Over the age of majority;
   b. Participated in the NVIDIA GTC event;
   c. Maintains a valid email business address and agrees to provide such address to the Company subject to the privacy policy.
   
   Employees of Company, its group companies or their family members, or anyone else connected to the Raffle may not participate in the Raffle.
   
3. During or soon after the Event, Company will randomly select [__] Qualified Individuals to win the Prize (the "Winner(s)").
4. In the event that Company deems a Qualified Individual to have in any way acted in bad faith with respect to the Raffle, such Qualified Individual shall be excluded from the Raffle and consequently ineligible to win the Prize.
5. The prize for winning the Raffle shall be a $50 Amazon gift card or an exclusive SuperGradients model training swag kit (the “Prize”). In order to receive the Prize, each Winner would need to provide a physical address for delivery of the Prize. The address must be within Israel.
   
6. The Prize(s) shall be delivered to the Winners' provided address or email address within two weeks following the announcement of the Winner(s). If the Winner fails to provide a full and accurate information regarding his or her shipping address within (7) days of Company's first approach to him/her, Company may, in its sole discretion choose an alternate Winner who is eligible.
7. All of Company’s decisions are final with respect to all matters relating to the Raffle, the eligibility of Qualified Individuals, and awarding of the Prize(s) to the Winner(s), and shall not be subject to review, dispute or appeal by any Qualified Individual or by any third party.
8. The Prize cannot be exchanged for money or money’s worth.
9. By entering the Raffle each Qualified Individual unreservedly agrees to these Terms which govern the Raffle and the awarding of the Prize.
10. By entering the Raffle each Qualified Individual agrees to release, discharge and hold harmless Company from any damages whatsoever suffered or sustained in connection with the Raffle or the acceptance of the Prize.
11. The Winner shall be solely responsible for any taxes levied in relation to the delivery or receipt of the Prize.
12. A Qualified Individual or Winner is not required to purchase any product or spend any sum of money in order to be eligible for the above Prize.
13. Company reserves the right, at any time, to cancel, modify or suspend the Raffle if, in its sole discretion, if the Raffle is not capable of being conducted as set out in these Terms.
14. Any information you submit as part of the Raffle will be treated in accordance with these Terms and our Privacy Policy.
15. These Terms shall be governed by and construed in accordance with the laws of the State of Israel.
